1. Agreement to Terms

By accessing and using BHPHApp ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and BHPHApp.com ("Company", "we", "us", or "our"), concerning your access to and use of our website and services.

2. Description of Service

BHPHApp provides a cloud-based dealership management system specifically designed for Buy Here Pay Here automotive dealers. Our services include but are not limited to:

• Inventory management and tracking
• Customer relationship management (CRM)
• Deal structuring and loan origination
• Payment processing and loan servicing
• Collections management
• Credit bureau reporting
• Document generation and storage
• Reporting and analytics

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.

You may not use as a username the name of another person or entity that is not lawfully available for use, or a name that you do not have the right to use. We reserve the right to refuse service, terminate accounts, or cancel orders in our sole discretion.

4. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

We implement appropriate security measures to protect your personal and business data. However, no method of transmission over the Internet or electronic storage is 100% secure.

5. Subscription and Payment Terms

Our Service is provided on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms.

If you fail to pay applicable fees or charges and such failure continues for thirty (30) days after notice, we may suspend or terminate your access to the Service.

6. Acceptable Use Policy

You agree not to use the Service:

• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances

• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To spam, phish, pharm, pretext, spider, crawl, or scrape

7. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of BHPHApp.com and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain ownership of any data, information, or material that you submit to or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

8. Data Backup and Recovery

We maintain regular backups of your data and implement disaster recovery procedures. However, you acknowledge that you are ultimately responsible for maintaining your own backup copies of your data.

In the event of data loss, we will make commercially reasonable efforts to restore your data from our backups, but we cannot guarantee complete data recovery.

9. Service Availability

We strive to maintain 99.9% uptime for our Service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We will provide advance notice of scheduled maintenance when possible and will work to minimize any disruption to your business operations.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

If you wish to terminate your account, you may simply discontinue using the Service and cancel your subscription. Upon termination, your data will remain accessible for 90 days, after which it will be permanently deleted.

11. Disclaimer

The information on this service is provided on an "as is" basis. To the fullest extent permitted by law, this Company excludes all representations, warranties, conditions and terms whether express or implied, statutory or otherwise.

The Service is provided for use in connection with automotive dealership operations, but we make no warranty that the Service will meet your specific business requirements or that it will be error-free or uninterrupted.

12. Limitation of Liability

In no event shall BHPHApp.com, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for any damages arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless BHPHApp.com and its licensors, licensees, distributors, third-party suppliers, and agents from and against any claims, actions, or demands arising from your use of the Service or your violation of these Terms.

14. Governing Law

These Terms shall be interpreted and governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dallas County, Texas.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
